Employee Ownership Specialists:

RVE specialises in advising and structuring employee buyouts, where business owners sell their business to a newly formed employee ownership trust (“EOT”) in return for cash and deferred consideration. All payments are made to the business owner from the business, and are free of Capital Gains Tax following changes in the 2014 budget designed to encourage greater adoption of EOTs.

We have completed deals ranging in size from £1m through to the largest EOT deal ever completed at £275m.

We understand not just the technical process of completing a transaction but how to structure a transaction to take into account the objectives of the  business owner and other stakeholders in the business.

A complete in-house service:

RVE has considerable experience of EOT transactions and with RVE’s in-house corporate finance, accounting, tax and legal capabilities, we can provide clients with a full-service advisory team from inception to completion of any EOT transaction, and through the first 12 months of the Trusts ownership.

We also offer to take on the role of Independent Trustee for the first year in the newly formed Trust to ensure that the transition to EOT ownership is as a smooth as possible.


A highly experienced team:

The team at RVE includes experienced chartered accountants, lawyers and corporate finance advisers who have previously worked together at PwC Corporate Finance.

We have completed deals across a wide range of sectors including manufacturing, professional services and construction and are also experienced in dealing with highly complex deals including PLC structures, companies with subsidiary undertakings and those with significant fixed assets.

We are experienced business valuers, and take a long term view when valuing businesses based on a company’s sustainable performance, both historic and forecast.  This allows owners to have confidence that they are selling their business at a fair value, and that one-off impacts and events such as COVID disruption, does not unduly affect the fair market valuation.

    Gerry is a qualified chartered accountant (ACA) with 25 years’ experience in corporate finance, gained at Schroders Corporate Finance (now Citigroup) and PwC. In that period, he advised on M&A transactions for publicly listed companies, private equity funds and family owned businesses.

  • Elaine Marriner

    Elaine is a lawyer and chartered secretary with over 20 years’ experience of working in FTSE 250 companies. She has worked in the retail, engineering, food manufacturing and recruitment sectors. Elaine has a wealth of experience in M&A gained from her time with HMV, Waterstones and Morgan Advance Ceramics.

  • Mark Butler

    Mark is a chartered accountant with over 20 years’ corporate finance experience working at PwC Corporate Finance in London and with the investment bank Henry Ansbacher. He has advised on a wide range of M&A transactions across many sectors with clients including large and small public and private companies, individual shareholders and private equity funds.

  • Tom Lethaby

    Tom holds an MBA from Henley Business School and qualifications from both CIMA (Management Accountancy) and CISI (Corporate Finance). He also brings a deep understanding of the challenges faced by many SMEs from 20 years of experience gained in the drinks trade.

    Tom also sits on the Membership Council of the Employee Ownership Association.
